Legal Counsel (m/f/d)

We are looking for a highly talented full-time Legal Counsel (m/f/d) to shape and strengthen our Visionaries Club deal execution framework and to provide advice on and drive forward many of the legal topics associated with our funds. You’ll be working alongside a young and very entrepreneurial team as well as our community of leading international VCs, some of the world’s most successful founders, family business entrepreneurs, and athletes, to nurture the next generation of Europe’s startups. In this role, you will drive Visionaries Club’s commercial legal agenda as part of our Operations team. We’re looking for someone who thrives in a constantly challenging and changing environment and is a motivated self-starter. Job Responsibilities

• You will be the main point of contact, taking investments from term sheet to investment closing by negotiating and structuring our investment documents.
• You will oversee legal interactions with portfolio companies, including shareholder resolutions, follow-on financing rounds or restructurings.
• You will work at the intersection of the investment team, platform team and finance/operations team.
• You will advise on other legal matters relating to the fund, e.g. fund formation and compliance topics in close collaboration with outside counsel.
• You will oversee and coordinate the work of outside counsel on the various corporate transactions carried out at Visionaries.
• You will have the opportunity to grow, learn and contribute to our entrepreneurial spirit through your own initiatives. You will be based in Berlin and will be reporting to our CFO, while enjoying a high degree of autonomy and freedom to lead on legal matters.

Job Requirements

We are looking for someone with:

• A passion for corporate law and transactions, as well as a curiosity for innovation, tech, and venture capital.
• Excellent results in their state exams. 
• 3-5 years of work experience (in addition to Referendariat) in a Venture Capital/M&A/Corporate team at a top law firm in Germany or within the legal team of a Venture Capital or Private Equity fund.
• Experience in effectively steering external parties / service providers.
• An affinity for numbers and able to expertly navigate the calculation of cap tables and waterfalls.
• Excellent communication skills, both written and verbal in English and German.
• Strong attention to detail and excellent project management skills.
• Independent problem-solving abilities with a proactive, can-do attitude.
• Strong interpersonal and collaboration skills - you are a team player!
